TOKYO -- General Electric Co. said Friday it will launch a tender offer for all shares of Sanyo Electric Credit Co. in a takeover deal valued at up to ¥135 billion ($1.14 billion). Sanyo Electric has been trying to restructure its sprawling operations with the assistance of Goldman and other strategic investors. Sanyo provides high valuable products of Rubber, Chemicals, Machinery, Industrial Products, and Scientific Instruments. Sanyo Electric Credit ended Friday down 1.2% at Y2,010 on the Tokyo Stock Exchange.After Sanyo Electric Credit, advised by Goldman Sachs, contacted GE in November last year with a sale offer, GE set the offer price with a 58% premium over the share's one-month average after considering other companies' past tender offer cases, the credit firm's cash surplus, possible synergies after the acquisition and an adequate amount to ensure shareholder support, STV Partners said in a separate statement.Lehman Brothers advised General Electric for the tender offer.STV said two subsidiaries of Goldman Sachs with a combined 33.2% stake in Sanyo Electric Credit will sell all of their holdings to STV.The acquisition of Sanyo Electric Credit will accelerate GE's expansion of its corporate financing business in Asia, one of U.S. conglomerate's key strategies.While GE's corporate financing business includes leasing services for large companies and real estate investment and loans, Sanyo Electric Credit is more focused on small-lot leasing of office equipment and loans tailored to certain industries.GE's aggressive expansion of its corporate leasing business began after it bought part of operations from failed Long-Term Credit Bank of Japan's leasing unit in 1999. Faced with escalating price competition in the digital products market, Sanyo Electric is in dire need of a turnaround.Sanyo Electric Credit, affiliated with Sanyo Electric and Goldman, said its board supports the tender offer, which will last through May 9.GE's wholly-owned unit, STV Partners, will pay Y3,250 for each of Sanyo Electric Credit shares not already owned by the credit and leasing service company, GE said in a statement.
